Q: Are there any special requirements for
creating a Romanian Subsidiary ("Filiala")?
A Romanian Subsidiary has the statute of any
regular Limited Liability Company, the only difference being that that the
sole or majority shareholder is another parent company. Nevertheless the
Romanian Subsidiary is regarded as an independent daughter-company.
Q: What is the minimum share capital of a
Romanian Subsidiary?
The Romanian Subsidiary has the same minimum
share capital as any LLC company, respectively 200 Lei.
Q: How much does it cost to create a Romanian
Subsidiary?
As a Subsidiary requires a larger number of
documents (Resolution of the parent-company, Trade Register Extract,
Registration Certificate etc.) and is therefore slightly more expensive than
a regular Romanian SRL Company with natural persons as shareholders. Usually
the total package is below 1,500 Euros.
Q: What documents are required for the setup
of a Subsidiary in Romania?
Documents will include Certificate of Registration and Trade
Register Extract of the parent-company, Bank Letter and Resolution, Specimen Signature and Affidavit for the
Romanian Director as
well as a Power of Attorney if the procedure is going to be completed
without a personal visit.
Q: Do I have to visit Romania in person for
the Subsidiary company incorporation?
No. Documents can be drafted by our Law

(called a "Sucursala") is an entity without its own legal personality.
This means that it does not have its own patrimony apart from the
