Creating a Branch in
Romania
Q: Are there any special requirements for
creating a Romanian Branch ("Sucursala")?
A Romanian Branch is setup in a manner
similar to any Romanian company. There are nevertheless certain specifics,
namely: the Romanian Branch does not have its own patrimony, its own share
capital, therefore the parent-company is liable with its own share capital
registered abroad. There is also an important note related to the filed
accounts: each year, besides the accounts for the branch, the yearly
accounts of the parent-company must be filed with the Romanian Trade
Register.
Q: What is the minimum share capital of a
Romanian Branch?
The Romanian Sucursala Branch does not have
its own share capital therefore there is no capital to deposit.
Q: How much does it cost to create a Romanian
Branch?
The fees for establishing a Romanian Branch
are roughly the same as for a Subsidiary, therefore around 1,000 Euros.

Q: What documents are required for the setup
of a Branch in Romania?
Documents will include Articles of
Association of the parent-company, Certificate of Registration and Trade
Register Extract, Specimen Signature and Affidavit for the representative as
well as a Power of Attorney if the procedure is going to be completed
without a personal visit.
Q: Do I have to visit Romania in person for
the Branch company incorporation?
No. Documents can be drafted by our Law

Romanian Embassy in your country of residence.
Then they will have to be sent to our office in original.
