A Romanian branch (called a "Sucursala") is an entity without its own legal personality. This means that it does not have its own patrimony apart from the parent-company. It is registered however in a similar manner with the Romanian Subsidiary and with the same public institution, namely the Trade Register.

ť Set up Subsidiary

The Romanian Subsidiary (called a "Filiala") has the status of any regular Romanian SRL (Limited Liability Company). The only difference is that the parent company is the only or majority shareholder in the company. This type of structure does not imply a different incorporation procedure other than any other Romanian SRL.
